The role

As a mid–senior associate, you will play a key role in the execution and management of complex ECM transactions in Saudi Arabia and the wider region.

Your responsibilities will include:

  • Leading day‑to‑day execution of ECM transactions, including Saudi IPOs and secondary offerings
  • Advising clients on Saudi capital markets regulation, CMA requirements and Tadawul listing rules (including ongoing obligations), alongside cross-border considerations
  • Drafting, reviewing and sometimes translating prospectuses, offering documents and submission documents
  • Drafting, reviewing and negotiating transaction agreements
  • Managing transaction timetables and coordinating with regulators, banks, auditors and international counsel
  • Supervising and mentoring junior associates and trainees
  • Working closely with partners to deliver commercially focused, pragmatic advice
  • Contributing to business development initiatives and strengthening client relationships
  • Staying abreast of regulatory developments in the Saudi capital markets and broader regional trends
  • You will work as part of cross‑practice teams, including Corporate/M&A, Banking & Finance and regulatory specialists, to deliver integrated advice on large‑scale, strategic transactions.

Who you will work with

Our ECM lawyers advise Saudi and international issuers, government-related entities, financial institutions and underwriters on complex domestic, regional and international equity offerings. We combine deep local market knowledge with Clifford Chance’s global capital markets expertise, including seamless integration with our US securities, international ECM and sector teams.

The AS&H CC Corporate and Equity Capital Markets team is co-led by Mansoor Al‑Hagbani and Majid Alshiekh. You will be heavily involved with Mansoor as well as Rakan Kawar on most transactions, alongside a large team of over 15 ECM lawyers based in Riyadh—the largest on-the-ground ECM team in the Kingdom—meaning you will have significant support. More broadly, the Firm’s Corporate and Capital Markets practice in Saudi Arabia

The team is consistently recognised for advising on landmark and market‑defining ECM transactions in the Kingdom, acting for issuers, shareholders and financial institutions on some of the most significant offerings on the Saudi Exchange (Tadawul). Matters are frequently multi‑jurisdictional and involve close collaboration with colleagues across the Clifford Chance global network, particularly in London, the US, Europe and Asia.
 

What you will work on

AS&H Clifford Chance’s Equity Capital Markets practice in Saudi Arabia is at the forefront of the Kingdom’s rapidly developing capital markets landscape. The team advises on many of the most significant and innovative ECM transactions in the region, supporting the continued growth and internationalisation of the Saudi capital markets in line with Vision 2030.

Our Saudi ECM work spans the full range of equity products, including:

  • IPOs and listings on the Saudi Exchange (Tadawul), focused on the Main Market
  • Secondary offerings, rights issues and accelerated transactions
  • Block trades and sell-downs by governmental, sovereign and strategic shareholders
  • ECM-related M&A and restructuring transactions, including equity-linked acquisitions
  • Dual-track and dual‑listing transactions
  • Cross-border offerings incorporating Rule 144A / Regulation S structures
  • ECM transactions involving regulated sectors aligned with Vision 2030 priorities
  • Other first-of-its-kind transactions in the Saudi market

Recent highlights include:

IPO & Equity Offerings

  • ACWA Power on its landmark US$ 1.9 billion rights issue ​
  • Americana Restaurants on its landmark concurrent initial public offering and dual listing of shares on the Abu Dhabi Securities Exchange (ADX) and the Saudi Exchange (Tadawul), the first dual listing in the region (IFLR “Middle East Equity Deal of the Year” for 2023).​
  • The Public Investment Fund as the selling shareholder in Saudi Tadawul Group Company’s private placement and IPO readiness ​
  • Derayah Financial Company IPO – Advised as issuer’s counsel on the SAR 1.5 billion (~US$400 million) IPO and listing on Tadawul, marking the first capital markets institution to list on the Saudi main market (TASI). The offering achieved c.177x oversubscription, with institutional investors accounting for over 90% of demand.
  • Almasar Alshamil Education Company IPO – Acted as issuer’s counsel on a SAR 599 million (~US$160 million) IPO and Tadawul listing, with an implied market capitalisation of approximately SAR 2 billion. The transaction attracted strong institutional participation and c.102.9x oversubscription.
  • Riyadh Development Company (ARDCO) Capital Increase & Share‑for‑Asset Transaction – Advised on a landmark capital increase involving the issuance of new shares in exchange for real estate assets, representing one of the first transactions of its kind executed on the Saudi Exchange.
  • ADES Holding Company IPO (~US$1.2 billion) – issuer’s counsel on one of the largest MENA IPOs in recent years
  • MBC Group IPO (SAR 831 million) – issuer‑side advisory on a high‑profile Saudi listing
  • Nice One Beauty Digital Marketing Company IPO (~SAR 1.2 billion) – advising financial advisors and underwriters
  • Jahez International Company – advising HSBC Saudi Arabia on the company’s transfer from Nomu to the Main Market (TASI)

Qualifications

​​​​​​Skills & experience

  • We are looking for outstanding mid–senior level equity capital markets lawyers who demonstrate both technical excellence and strong commercial judgement
  • Strong experience advising on ECM transactions, ideally including IPOs and secondary offerings
  • Experience of, or genuine interest in, the Saudi capital markets and the wider Middle East
  • Ability to work with various teams comprising different seniority levels
  • Prior experience at a top‑tier international law firm is preferred
  • Exposure to Saudi law aspects of ECM transactions or regulated markets is highly advantageous
  • Excellent drafting, analytical and communication skills
  • Proven ability to manage transactions and take ownership of workstreams
  • Confidence working directly with clients, regulators and senior stakeholders
  • Delivering innovative solutions for client and internal challenges
