Job Description

We are seeking a highly motivated and detail-oriented Paralegal to join our Hong Kong Capital Markets and Corporate Practice team. The successful candidate will support our lawyers in delivering top-tier legal services to our clients. This role requires a strong understanding of capital markets and corporate law, excellent organisational skills, and the ability to work in a fast-paced environment.

Key Responsibilities:

  • Assist lawyers with the preparation and review of legal documents related to capital markets and corporate transactions.
  • Conduct legal research and analysis on relevant laws, regulations, and market practices.
  • Coordinate and manage due diligence processes, including the collection and review of documents.
  • Prepare and organise transaction documentation, including prospectuses, offering memoranda, and other related materials.
  • Liaise with clients, regulatory bodies, and other stakeholders as required.
  • Maintain and update case files, ensuring all documentation is accurately filed and easily accessible.
  • Assist in the preparation of board resolutions, shareholder agreements, and other corporate governance documents.
  • Support the team in managing transaction timelines and ensuring all deadlines are met.
  • Perform other administrative and support tasks as needed.

Qualifications

  • Bachelor’s degree in Law or a related field.
  • Previous experience as a paralegal in capital markets, supporting US IPO, DCM transactions is preferred 
  • Strong understanding of Hong Kong capital markets and corporate law.
  • Excellent research, analytical, and organisational skills.
  • Proficiency in Microsoft Office Suite and legal research databases.
  • Strong written and verbal communication skills in English and Mandarin is required 
  • Ability to work independently and as part of a team.
  • High level of attention to detail and accuracy.
  • Ability to manage multiple tasks and meet tight deadlines.
