The Role
The role of an NDA Specialist offers you the chance to join our highly experienced, innovative, and client-centric team. You'll work within a range of offices, ensuring that knowledge, resources, processes, and technology are deployed effectively to support our clients.
At our Newcastle Delivery Centre, you’ll be part of a well‑established paralegal support team with a wide range of seniority and specialisms. As an NDA Specialist working at Senior Paralegal level, you will collaborate closely with Paralegals, Apprentice Paralegals, Senior and Supervisory Paralegals, Managing Paralegals, Operations Managers, Legal Technology Advisors and Process Architects.
You are likely to have direct contact and communication with Associates, Lawyers and Business Professionals based in other offices around the world.
Job Overview
The Corporate team assist with Non-Disclosure Agreement reviews. This is either on a hotline basis for a number of Private Equity clients or on a sell side situation as part of a wider deal.
Working in a team who support this work, you will be specifically required to fee earn to support all aspects of the delivery of the NDA work for other CC offices. You may also assist with other work on an as and when required basis.
Key Responsibilities
- Carrying out NDA reviews, both initial mark ups and subsequent negotiations
- Helping with the management of the NDA hotlines
- Helping with managing NDA Sell Side projects
- Assist in Quality Control and training on NDAs
- Ensuring your work is accurate and thorough at all times
- Accurately updating internal tracking systems
- Being proactive about continuous improvement, systems and processes
- Integrating legal technology into our processes and advancing your skills in this area as much as possible
- Working efficiently and effectively within a team
- Providing timely updates as to work progress
- Communicating effectively at all times
- Playing a role in developing and representing the culture of the Newcastle Office and ensuring that we offer a diverse and inclusive workplace that is welcoming and supportive to all
What you will do
You will undertake a multitude of tasks for a range of practice areas, as mentioned above, including but not limited to;
- Reviewing/drafting of buy side and sell side NDAs to ensure they are in line with client requirements
- Understand Client Playbook and negotiation positions to assist while reviewing NDAs.
- Ensure trackers are updated as required
- Providing timely updates to stakeholders
- Assist colleagues with quality checks on their work, giving feedback and advice.
- Assist with the management of hotlines or projects
You may also be required to support on other non-NDA related work, including but not limited to:
- Due diligence
- Drafting transaction documents and letters
- Preparing transaction bibles
- Proofreading/checking cross-referencing
- Redacting
- E-disclosure
- You will use the latest legal technology for service delivery including Kira, High Q, Relativity and Contract Companion
- Other administrative tasks as and when required

You will possess the following skills:
Essential:
- Experience of carrying out NDA reviews and a genuine interest in this type of work.
- Flexible and effective verbal and written communication skills
- Excellent research capabilities with the ability to follow detailed instructions and produce complex findings
- Proactive and forward thinking
- Flexible and have desire to learn
- Organised and efficient - ability to meet; daily, weekly and monthly deadlines
- Proficient in applying and using a range of technology
- 2 years or more relevant experience as a paralegal
- Excellent attention to detail
- Very good team player
Desirable:
- Fluent in a European language, particularly French, German or Italian

Work Pattern & Hybrid Working
Monday – Friday 35 hours per week. Core office hours are 09:00 - 20:00
We have a hybrid working policy in place and the expectation for this role is that at least 50% of your time is spent in the office.
